1. Applicability
These Terms of Sale apply to all purchases, purchase requests, wholesale orders, institutional orders, account-based orders, and related transactions submitted to or fulfilled by AZOTH.
By submitting an order, requesting account access, requesting wholesale access, or purchasing from AZOTH, the customer agrees to these Terms of Sale, AZOTH’s Terms of Use, Refund / Return Policy, Research Use Only Policy, and all applicable policies referenced on this website.
2. Account-Based Access
AZOTH may restrict catalog access, pricing visibility, ordering, documentation, and fulfillment to approved accounts only.
AZOTH reserves the right to review account eligibility, request additional information, limit access, decline access, suspend access, or terminate access at any time if AZOTH determines that an account does not meet internal eligibility, compliance, documentation, or risk standards.
3. Customer Eligibility
Customers must be at least 21 years of age and must be authorized to purchase research-use-only products for lawful laboratory research, analytical, or scientific purposes.
Customers are responsible for ensuring that their purchase, possession, storage, handling, transfer, use, and disposal of any AZOTH product complies with all applicable laws, regulations, institutional requirements, and jurisdictional restrictions.
4. Research Use Only Acknowledgment
By purchasing from AZOTH, the customer acknowledges and agrees that all products are supplied strictly for laboratory research, analytical, and scientific use by qualified research accounts.
Customers acknowledge and agree that AZOTH products are:
- Not for human consumption or human use
- Not for veterinary or animal use
- Not for diagnostic, therapeutic, medicinal, cosmetic, dietary, or personal use
- Not intended to diagnose, treat, cure, mitigate, or prevent any disease
- Not intended for compounding, pharmacy, clinical, prescribing, or patient-care use
- Not intended for administration of any kind
5. Order Submission and Acceptance
Submission of an order does not guarantee acceptance or fulfillment. AZOTH reserves the right to review, approve, decline, cancel, modify, or request additional information for any order before fulfillment.
An order is not considered accepted until AZOTH confirms the order, verifies applicable account status, confirms inventory availability, and determines that the order may be processed.
6. Pricing and Availability
Product pricing, availability, quantities, packaging, documentation, and fulfillment timelines may change without notice.
AZOTH reserves the right to correct pricing errors, product listing errors, availability errors, catalog errors, typographical errors, or system errors at any time, including after an order has been submitted.
If a pricing or availability issue affects an order, AZOTH may contact the customer with revised options, replacement options, cancellation options, or refund eligibility.
7. Payment Terms
Payment terms may vary based on account type, order size, payment method, account approval, and AZOTH’s internal review.
Unless otherwise approved in writing, payment must be completed before fulfillment. AZOTH may support approved payment methods through checkout, invoice-based processing, manual payment links, bank transfer, or approved account terms.
AZOTH reserves the right to delay fulfillment, cancel an order, or suspend account access if payment is incomplete, rejected, disputed, reversed, flagged, or otherwise not received in full.
8. Taxes, Duties, and Fees
Customers are responsible for any applicable taxes, duties, customs charges, import fees, processing fees, brokerage fees, bank fees, currency conversion fees, or other charges associated with an order.
AZOTH is not responsible for customer-side charges imposed by payment providers, financial institutions, carriers, customs authorities, government agencies, or third-party service providers.
9. Fulfillment Timing
Fulfillment timing may vary based on account status, inventory availability, order volume, destination, documentation, handling requirements, payment clearance, and other operational factors.
Any fulfillment or delivery estimates are provided for convenience only and are not guaranteed unless expressly stated in writing by AZOTH.
10. Shipping and Delivery
Shipping options, carriers, destinations, and delivery timelines may vary by account, product, location, and order requirements.
Customers are responsible for providing accurate shipping information and ensuring that the receiving location is suitable for delivery, storage, and handling of research-use-only products.
AZOTH is not responsible for delays, failed deliveries, returned shipments, refused shipments, abandoned shipments, customs holds, carrier delays, weather delays, or delivery issues caused by inaccurate, incomplete, or unavailable customer information.
11. Risk of Loss
Risk of loss may transfer to the customer once an order is released to the carrier, picked up, delivered, or otherwise transferred from AZOTH custody, unless otherwise required by applicable law or expressly agreed in writing.
Customers should inspect shipments promptly upon receipt and report any damaged, incorrect, or missing items according to AZOTH’s Refund / Return Policy.
12. Cancellations
Cancellation requests may be reviewed only if the order has not yet been processed, packed, fulfilled, released, shipped, or otherwise entered fulfillment.
Once an order has entered fulfillment, cancellation may no longer be available. AZOTH reserves the right to approve or deny cancellation requests on a case-by-case basis.
13. Substitutions, Backorders, and Unavailable Items
If an item is unavailable, delayed, discontinued, backordered, or otherwise unable to be fulfilled as ordered, AZOTH may contact the customer with available options.
Options may include revised fulfillment timing, partial fulfillment, replacement options, store credit, cancellation of the affected item, or refund eligibility.
14. Returns, Replacements, Credits, and Refunds
Returns, replacements, credits, and refunds are governed by AZOTH’s Refund / Return Policy.
Due to the nature of research compounds, temperature-sensitive handling, chain-of-custody considerations, and product integrity requirements, all sales are generally final once an order has been processed, fulfilled, shipped, picked up, or otherwise released from AZOTH custody.
AZOTH may review damaged, incorrect, missing, unavailable, or quality-related issues on a case-by-case basis in accordance with the Refund / Return Policy.
15. Product Documentation
Product documentation may include Certificates of Analysis, lot records, analytical testing information, purity data, identity confirmation, labels, product specifications, or related documentation where applicable.
Documentation availability may vary by product, lot, supplier, batch, and account status. AZOTH may restrict access to documentation to verified research accounts.
16. Customer Representations
By submitting an order or purchase request, the customer represents and warrants that:
- The customer is authorized to purchase research-use-only products
- The customer will use products only for lawful laboratory research, analytical, or scientific purposes
- The customer will not use products for human, animal, clinical, therapeutic, diagnostic, cosmetic, dietary, personal, pharmacy, compounding, or patient-care purposes
- The customer will comply with all applicable laws, rules, regulations, and institutional requirements
- The customer has provided accurate account, billing, shipping, and contact information
- The customer will not resell, relabel, transfer, or distribute products in violation of applicable law or AZOTH policy
17. Refusal of Service
AZOTH reserves the right to refuse service, reject orders, cancel orders, limit quantities, suspend account access, terminate account access, or decline fulfillment at any time if AZOTH determines that an order, account, customer, destination, use case, payment, or transaction presents a legal, regulatory, compliance, operational, fraud, reputational, or safety concern.
18. No Medical, Veterinary, Pharmacy, or Clinical Relationship
Nothing on this website, in AZOTH communications, or in any product documentation is intended to create a medical, veterinary, pharmacy, clinical, prescribing, patient-care, or treatment relationship.
AZOTH does not provide medical advice, veterinary advice, treatment recommendations, dosing guidance, compounding services, prescribing services, pharmacy services, or patient-specific guidance.
19. Limitation of Liability
To the maximum extent permitted by applicable law, AZOTH shall not be liable for indirect, incidental, consequential, special, punitive, exemplary, or similar damages arising out of or relating to any order, product, delay, shipment, non-delivery, use, misuse, inability to use, or handling of any product.
AZOTH’s total liability for any order-related claim shall not exceed the amount paid by the customer for the product or order giving rise to the claim.

AZOTH may update these Terms of Sale at any time. Updates will be posted on this page with a revised “Last updated” date. Continued use of the website, account access, or ordering after changes are posted constitutes acceptance of the updated Terms of Sale.
